Spin-off = a type of corporate actions
A spin-off (or Demerger) is a new organization or entity, formed by a split from a larger one, such as a television series based on a pre-existing one, or, as a new company formed from a university research group.
In other words: The creation of an independent company through the sale or distribution of new shares of an existing business/division of a parent company. Businesses wishing to 'streamline' their operations often sell less productive or unrelated subsidiary businesses as spin-offs. The spin-off companies are expected to be worth more as independent entities than as parts of a larger business.
